Remuneration Report

The Remuneration Report illustrates the policies adopted by UnipolSai regarding the remuneration of members of the administration and control bodies, the General Manager and the key management personnel of the Company.

The Remuneration Report, drawn up pursuant to Article 24 of ISVAP Regulation No. 39 of 9 June 2011 and Article 123-ter of the Consolidated Law of Finance, illustrates the policies adopted by UnipolSai regarding the remuneration of members of the administration and control bodies, the General Manager and the key management personnel of the Company.

The remuneration policies of the Company also comply with the recommendations on remuneration contained in the Corporate Governance Code for listed companies, in the latest edition of July 2015, which UnipolSai adheres to.

The Report is divided into two sections:

  • Part One illustrates the Remuneration Policies adopted by UnipolSai for the current year and the procedures used for the adoption and implementation of the same;
  • Part Two provides a complete description of each remuneration item and illustrates, by name, the remuneration paid by the Company in the prior year for any reason and in any form to the members of Corporate Bodies, to the General Manager and, in aggregate form, to the Company’s key management personnel.

The Report also provides information on any investments held by the aforementioned figures in the Company and its subsidiaries.
