Fondiaria Sai: option rights ceded by subsidiary companies

Fondiaria-SAI S.p.A., in relation to the share capital increase underway, announces that yesterday all option rights concerning the 11,182,557 Fondiaria-SAI shares held by the subsidiaries Milano Assicurazioni S.p.A and SAI Holding Italia S.p.A. were ceded, who - in accordance with the applicable regulations - are prohibited from subscribing to newly issued shares of the parent company. Specifically, we report that:

• Milano Assicurazioni S.p.A ceded 9,982,557 blocking option rights on the market.
• SAI Holding Italia S.p.A ceded a total of 1,200,000 blocking option rights on the market.

Following the above cessions, the total holding of Milano Assicurazioni and SAI Holding Italia in Fondiaria-SAI, assuming the full subscription to the share capital increase of Fondiaria-SAI, will reduce to 3.047% of the ordinary share capital of the company, of which 2.720% relating to Milano Assicurazioni and 0.327% relating to SAI Holding Italia.
