The following announcement concerns the press release of January 30, 2012 of Fondiaria-SAI S.p.A. (“Fondiaria-SAI”) announcing the call of the Shareholders’ Meeting for the approval of the capital increase and the appointment of Mediobanca – Banca di Credito Finanziario S.p.A. (“Mediobanca”) to organise the guarantee consortium at normal market conditions. The appointment was made considering the proposed merger with Unipol Gruppo Finanziario S.p.A. (“UGF”), which itself appointed Mediobanca to a similar role for the company’s capital increase.
