Notice of change in share capital and publication of the updated company by-laws

UnipolSai Assicurazioni S.p.A. (“UnipolSai”, the “Company” or the “Incorporating Company”) hereby announces that, following the effectiveness on 31 January 2016 of the merger by incorporation of Liguria – Società di Assicurazioni – S.p.A. (“Liguria”) and Liguria Vita S.p.A. into the same, 12,525 UnipolSai new ordinary shares were issued to the Liguria shareholders other than the Incorporating Company shareholders, with the same characteristics as the outstanding ordinary shares.
