Popolare vita S.p.A.: The expert has determined the selling price of the shares held by Unipolsai

UnipolSai S.p.A. informs that BDO Italia S.p.A. and BDO AG Wirtschaftsprüfungsgesellschaft - Actuarial Services in charge of determining the price, in accordance with the shareholders’ agreements in place, to be paid by Banco BPM S.p.A. to acquire the shares held by UnipolSai in Popolare Vita S.p.A. (the “Company”) (representing 50% of the share capital plus one share), issued their final report today, determining as €1,071m the total value of the Company at 30 June 2017 and, consequently, as €535.5m the selling price of 21,960,001 Popolare Vita shares held by UnipolSai, confirming the evaluation contained in the draft report transmitted to UnipolSai and Banco BPM on 27 October 2017.

Given the intervening distribution of freely available income-related reserves of Popolare Vita S.p.A., unanimously approved by the Shareholders’ Meeting on 30 June 2017 (share of UnipolSai equal to €53.4m), the overall result concerning the disposal of the shares held by UnipolSai amounts to €588.9m.
