UnipolSai: bancassurance agreement renewed with BPER and Banca Popolare di Sondrio
On today’s date UnipolSai Assicurazioni S.p.A. (“UnipolSai” or the “Company”) signed the agreements to renew the partnership in the bancassurance area with BPER Banca S.p.A. (“BPER”) and Banca Popolare di Sondrio S.p.A. (“BPSO”) regarding the distribution of insurance products in the life and non-life sectors of Arca Vita S.p.A. (“Arca Vita”), Arca Assicurazioni S.p.A. (“Arca Assicurazioni”) and Arca Vita International DAC (“Arca International”). In the context of those agreements, independent contracts were signed to also govern the distribution by the above-mentioned banks of UniSalute S.p.A. (“UniSalute”) “health” insurance products.
The agreements will allow the partnership with BPER and BPSO to continue for a period of 5 years starting from 1 January 2023 under terms that are essentially in line with those currently in effect and due to expire at the end of December 2022.
Since BPER is a related party to the Company, the signing of these agreements can be classified as a transaction of “greater significance” for UnipolSai in accordance with the Regulation adopted by CONSOB with decision no. 17221 of 12 March 2010, as subsequently amended (“Related Party Transaction Regulation”) and the “Procedure to carry out transactions with related parties” adopted by the Board of Directors of UnipolSai (“Related Party Transaction Procedure”). The transaction was therefore approved by the Board of Directors of UnipolSai, subject to approval by the Committee for Related Party Transactions regarding the interest of UnipolSai and its subsidiaries who are party to the agreements (more specifically Arca Vita, Arca Assicurazioni, Arca International and UniSalute) in finalising the transaction and the advantages and substantial fairness of the related terms.
